1. Definitions

Agent refers to Super Nice Advice Pty Ltd, its directors, officers, employees, contractors, and representatives.

Client refers to the individual or entity engaging the Agent to provide accounting, tax, or advisory services.

Engagement means the agreement between the Agent and the Client for the provision of specified professional services.

Services means any professional, accounting, tax, or advisory work provided by the Agent to the Client, whether written, oral, or digital.


2. Scope of Services

2.1 The Agent will perform professional services as agreed in writing, using due care and in accordance with the standards of CPA Australia and relevant legislation.
2.2 The Agent is not responsible for detecting fraud, misrepresentation, or errors unless specifically engaged to do so.
2.3 Any advice provided is based on information supplied by the Client, which the Agent assumes to be true and complete.
2.4 Services do not extend beyond the agreed scope. Any additional work requested by the Client will be subject to separate engagement and fees.


3. Client Responsibilities

3.1 The Client must:

Provide full, accurate, and timely information required for the Agent to perform the Services.

Maintain all necessary records to substantiate information provided.

Ensure compliance with relevant tax and financial reporting laws.

3.2 The Client is solely responsible for:

All outcomes resulting from the application of the Agent’s advice.

The maintenance of internal controls and governance.

Lodging returns and making payments by statutory deadlines.

3.3 The Agent shall not be liable for any loss, penalty, or interest arising from the Client’s failure to provide accurate or timely information.


4. Fees and Payment

4.1 Fees are determined based on the time, complexity, and expertise required for the engagement.
4.2 The Agent may require full or partial payment in advance.
4.3 Payment is due within 7 days of the invoice date unless otherwise stated in writing.
4.4 The Agent reserves the right to charge interest at 1.5% per month on overdue balances and to suspend or terminate services for non-payment.
4.5 All prices are exclusive of GST unless expressly stated otherwise.
4.6 The Agent may recover all collection and legal costs arising from enforcement of overdue amounts.


5. Ownership and Use of Documents

5.1 All working papers, calculations, templates, and intellectual property created by the Agent remain the property of the Agent.
5.2 The Client may only use final deliverables for their intended purpose.
5.3 The Agent may retain copies of all documentation provided for professional recordkeeping, in accordance with CPA retention standards.


6. Confidentiality

6.1 The Agent will maintain confidentiality of all Client information in accordance with CPA Australia’s Code of Ethics.
6.2 The Client authorises the Agent to disclose information to regulatory bodies, auditors, or third parties as required by law or as necessary for the completion of the Services.
6.3 The Agent may use anonymised Client data for benchmarking or internal analysis.


7. Electronic Communication

7.1 The Client consents to the use of email and electronic systems for communication and document exchange.
7.2 The Agent is not responsible for loss, delay, or corruption of data in transmission beyond its control.
7.3 The Client is responsible for maintaining their own data security and backup systems.


8. Limitation of Liability

8.1 To the maximum extent permitted by law, the Agent’s total liability for any loss or damage arising from this engagement is limited to the lesser of:

The total fees paid for the Services; or

$10,000 (ten thousand Australian dollars).

8.2 The Agent will not be liable for any consequential, indirect, or special losses including loss of profit, opportunity, or goodwill.
8.3 The Client agrees to indemnify and hold harmless the Agent from all claims arising from false or incomplete information supplied by the Client.


9. Third-Party Involvement

9.1 The Agent may engage third-party contractors, cloud services, or specialists as necessary to perform the Services.
9.2 The Client authorises such engagements and acknowledges that those third parties may have access to confidential data.


10. Termination

10.1 Either party may terminate the engagement with written notice.
10.2 The Agent may terminate immediately if the Client fails to pay invoices, provides misleading information, or breaches any terms.
10.3 Upon termination, the Client must pay all outstanding fees and reasonable costs incurred up to the termination date.


11. Record Retention

11.1 The Agent will retain working papers and Client data for a minimum of seven years, after which records may be securely destroyed.
11.2 The Client is responsible for maintaining copies of original source documents.


12. Professional Obligations

12.1 The Agent is bound by CPA Australia’s Code of Ethics and professional standards.
12.2 In the event of a dispute, the Client agrees to first attempt resolution directly with the Agent before pursuing external mediation or legal action.


13. Governing Law

These Terms are governed by the laws of Queensland, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Queensland.


14. Acceptance

By engaging the Agent’s services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
