By engaging Super Nice Advice for any services or paying an invoice issued by Super Nice Advice, in any capacity, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not engage with Super Nice Advice in any manner.

The specific services provided to you will be outlined in a separate written agreement, and these Terms will apply to all services provided by Super Nice Advice.

To the extent permitted by law, Super Nice Advice, its directors, officers, employees, and agents shall not be liable for any loss or damage, whether direct, indirect, consequential, or otherwise, arising from or in connection with the services provided by Super Nice Advice, except to the extent that such loss or damage is caused by our negligence, fraud, or willful default.

5. Indemnity

You agree to indemnify and hold harmless Super Nice Advice, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in connection with your breach of these Terms or your use of the services provided by Super Nice Advice.

Either party may terminate the engagement for any reason upon written notice to the other party. Upon termination, you shall be liable for any fees and expenses incurred by Super Nice Advice up to the date of termination.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Australia, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

8. Entire Agreement

These Terms, together with any separate written agreement outlining the specific services to be provided, constitute the entire agreement between you and Super Nice Advice and supersede any prior agreements, understandings, or arrangements between you and Super Nice Advice or any of its directors, officers, employees, or agents. By entering into an agreement with Super Nice Advice, any previous engagements with any employees, directors, or agents of Super Nice Advice are rendered void.

9. Acceptance of Terms

By paying an invoice issued by Super Nice Advice or engaging with Super Nice Advice in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and Conditions.

10. Amendments and Modifications

Super Nice Advice reserves the right to amend or modify these Terms at any time without prior notice. Any such changes will be posted on our website or communicated to you in writing. Your continued engagement with Super Nice Advice after any such changes constitutes your acceptance of the amended Terms

11. Confidentiality

Both parties agree to maintain the confidentiality of any information received from the other party during the course of the engagement, except where disclosure is required by law or with the prior written consent of the disclosing party. This obligation shall survive the termination of the engagement.

12. Intellectual Property

Any intellectual property rights, including but not limited to copyrights, trademarks, and patents, created or developed by Super Nice Advice during the course of the engagement shall remain the exclusive property of Super Nice Advice. You agree not to use or reproduce any of Super Nice Advice's intellectual property without our prior written consent.

13. Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

14. No Partnership or Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, or agency relationship between you and Super Nice Advice. Neither party shall have the authority to bind the other party or to incur any liability on behalf of the other party, except as expressly provided in these Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, and the remaining provisions shall continue in full force and effect.

16. Waiver

No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

17. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Super Nice Advice. We may assign or transfer our rights and obligations under these Terms without your consent.

By engaging with Super Nice Advice in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and Conditions.
